Constitution

ADOPTED BY BIENNIAL GENERAL MEETING OF MEMBERS, 2001.

1. Name

The Name of the Society is the "Pacific Society for Reproductive Health"

2. Office

The Office of the Society shall be established in such location in the Pacific as the Executive Committee may from time to time determine

3. Interpretation, Clauses and Definitions

•  In this constitution, unless there is something in the context inconsistent therewith:

"Society" means the "Pacific Society for Reproductive Health"
"Rules" means this constitution and any regulations made thereunder for the time being in force
"Executive Committee" means the Executive Committee elected in accordance with these rules
"President" means the President of the Society elected in accordance with these rules and includes Acting President
"Honorary Secretary" means the Honorary Secretary of the Society elected in accordance with these rules and includes Acting Secretary
"Register" means the register of members of the Society kept by the Honorary Secretary pursuant to these rules

4. Aims and Objectives

4.1 To promote continuing education in the field of reproductive and neonatal health in the Pacific

4.2 To provide a forum for discussion of matters of common interest

4.3 To enhance the ability of members to attend meeting given the problems of Pacific geography

5. Membership

5.1 Membership of the Society shall be open to:

5.1.1 Medical practitioners with a special interest in reproductive and neonatal health

5.1.2 Midwives

5.1.3 Family planning workers

5.1.4 Others with a special interest in reproductive and neonatal health who are not medical practitioners, midwives or family planning workers, to whom the Executive Committee deems membership appropriate

5.2 The Society shall keep a register of all its members in respect of whom there shall be entered the names and addresses of such members, their membership category, the dates when they became members, and the dates when they ceased to be members.

6. Subscriptions

•  Members shall pay a biennial subscription to the Society and payable on 1 st January each alternate year. No such member shall be entitled to exercise their rights and privileges unless all monies due and payable to the Society have been paid. The Executive Committee shall have the power in its absolute discretion to remit any annual subscription in arrears or any other monies due by a Member to the Society.

A membership fee shall be determined biennially at the Biennial General meeting.

7. Governing Body - Biennial General Meeting

•  The governing body shall be a Biennial General Meeting of members of the Society, which will be held at least once every two years.

Notice of the meeting shall be given to members at least twenty-eight days prior to the meeting
The business of the Biennial General Meeting shall be:

7.1 To confirm the minutes of the previous Biennial General Meeting

7.2 To receive a report from the President on matters of importance to the Society

7.3 To receive the audited financial statements for the preceding two years

7.4 To elect an Executive Committee

7.5 To determine the annual subscription for the ensuing two years

8. Executive Committee

8.1 The Executive Committee shall comprise the President, Vice President, Honorary Secretary, Honorary Treasurer and two other members, and shall be directly responsible to the Biennial General Meeting of members

8.2 The election of the Executive Committee shall be conducted at the Biennial General Meeting

8.3 The President shall not hold office for more than four consecutive years

8.4 The Executive Committee shall have the power to co-opt further members from all groups associated with the Society so as to ensure that all groups are represented on the Executive Committee

8.5 Any casual vacancy which may occur on the Executive Committee shall be filled by a member elected by the Executive Committee to serve until the next Biennial General Meeting

8.6 A quorum for the Executive Committee shall be the President, or Vice President, and two members

8.7 In addition to the Office Bearer positions, there will be an honorary position of Secretary General as an ex officio member to the Executive Committee. The tenure of this position will be for a period of five years and may be held for two successive terms. The Secretary General will be elected by the Biennial General Meeting of members, on the recommendation of the Executive Committee

8.8 The Executive Committee should comprise a minimum of two midwives and a minimum of two medical practitioners.

8.9 The Executive Committee will have a RANZCOG representative nominated by the Executive committee of RANZCOG co-opted to the PSRH Executive Committee

9. Duties

9.1 The President shall be the President of the Executive Committee and shall preside at all meetings of the Executive Committee at which the President is present. The President shall in the event of any Office Bearer being unable to fulfill their duties due to illness or other cause, have the power to appoint a substitute for that Office Bearer.

The President shall advise the Honorary Secretary as the occasion may require and generally superintend the conduct of the affairs of the Society and between meetings shall represent the Society in all matters.

9.2 The Vice President shall, in the absence of the President, preside as President at all meetings of the Executive Committee at which the Vice President is present. In the absence of the President, the Vice President shall exercise the powers and perform the duties of the President.

9.3 The Honorary Secretary shall record the minutes of the Executive Committee meetings and circulate a copy of same to Executive Committee members at least 21 days prior to the next ordinary meeting of the Executive Committee. The Honorary Secretary shall send out notices of all meetings along with the agenda for such meetings, shall conduct the correspondence and keep a record thereof, shall, under the guidance of the President, generally administer the affairs of the Executive Committee, and shall keep and maintain the register of members of the Society.

9.4 The Honorary Treasurer shall keep proper accounts of all monies received and expended on behalf of the Society and shall prepare a statement of receipts and expenditure for each financial year and submit the same duly audited to the Executive Committee and to each member.

10. Financial Year

The financial year of the association is the period beginning on 1 January and ending on 31 December in each year.

11. Alteration to Constitution

The Society shall have the power to amend the Constitution from time to time if and when it thinks fit. Notice of any proposed amendment should be put to the membership by means of a postal vote, and such amendment shall require support of two-thirds majority of voting members to carry the resolution.
